TERMS AND CONDITIONS

 

Please read the following terms and conditions (the “Terms”) carefully, before using the website. These Terms form the agreement between you and us and govern your use of the website.

The terms “we”, “our” “us” and “the company” when used in these terms means Prim-Ed Publishing Ltd. The terms “you”, “your” and “yours” when used in these terms means you as a user of the website.

By using the website, you signify your agreement to be bound by these Terms. If you do not agree to accept these Terms, you should not use the website.

We reserve the right to change these Terms at any time and you are advised to review the Terms regularly to ensure you are aware of any changes. Your continued use of the website, after such changes are posted, will be deemed agreement on your part to these Terms, as amended.

GOVERNING LAW

The performance and completion of these Terms and any contract made hereunder shall be subject to UK Law and to the jurisdiction of the courts of the United Kingdom.

Copyright and other relevant intellectual property rights exist on all text relating to the company’s services and the full content of the website. You may access the site and use the information held within. You may not copy, reproduce, republish, upload, post, transmit or distribute information held within this site in any way. You may not delete or modify information or use information for any unauthorised purpose as this is a violation of our copyright, trademark, and trade secret rights and others' proprietary rights.

CONTRACTS

The placing of an order shall be deemed to be your acceptance of these Terms.

Our order process allows you to check and amend any errors before submitting your order. After you place an order, you will receive an email acknowledging that we have received your order. However, please note that this does not mean that your order has been accepted. Your order constitutes an offer to purchase the products and is subject to acceptance by Prim-Ed Publishing.

We will confirm our acceptance to you by sending you an email which confirms that the products have been dispatched (Dispatch Confirmation). The contract between us will only be formed when we send you the Dispatch Confirmation.

If we are unable to supply you with a product, for example because that product is not in stock or is no longer available, or because of an error in the price, we will inform you of this and your order will not be processed. If you have already paid for the products, we will refund you the full amount as soon as possible.
 

PRICING

Due to the nature of the business, you acknowledge and agree that the price may be subject to change and variation from time to time, subject always that any changes to the price shall not be applicable to you once you have submitted your order to Prim-Ed Publishing.

Prim-Ed Publishing Ltd reserves the right to make adjustments to pricing, products and service offerings for reasons including, but not limited to, changing market conditions, product discontinuation, product unavailability, manufacturer price changes and errors in advertisements.

Pricing exclude VAT. A total order price including VAT and delivery is given when using the online checkout.
 

PAYMENT

We accept online payments via PayPal, Visa, MasterCard, Visa Debit, and MasterCard Debit. PayPal orders will be charged to the payment card that you have assigned to your PayPal account.

In the event that the ‘invoice the school’ payment option is selected, Prim-Ed Publishing shall issue an invoice to the school for the products and services.

All product prices and delivery charges are shown in Pound Sterling.  
                                                           

PROMOTIONS AND OFFERS

All promotions, discounts, and special offers are subject to availability. Discount offers cannot be used in conjunction with any other promotion. Only one promotional code can be used per order. All promotional codes and offer coupons are restricted to specific dates, and cannot be used after the specified date unless explicitly agreed.
 

DELIVERY

Every endeavour will be made to maintain delivery dates but no responsibility for later delivery, due to circumstances beyond our control, will be accepted. In no case shall delay be a ground for rejecting goods terminating the contract.

While Prim-Ed Publishing Ltd shall make every reasonable effort to meet delivery dates, we will not be liable for any losses, costs, damages or expenses incurred by you the customer arising directly or indirectly from late delivery.

Where there is no-one available to accept a delivery, we will attempt to contact you to make a prompt arrangement. Where this is not possible, you the customer shall become liable for additional costs arising from a corrective or delayed delivery.

Delivery will be completed when we deliver the products to the address you specified. The products will be your responsibility from the completion of delivery. You own the products once we have received payment in full, including all applicable delivery charges.
 

INTERNATIONAL DELIVERY

If you order products from our website for delivery to international destinations, your order may be subject to import duties and taxes which are applied when the delivery reaches that destination. Please note that we have no control over these charges and we cannot predict their amount.

You will be responsible for payment of any such import duties and taxes. Please contact your local customs office for further information before placing your order.

You must comply with all applicable laws and regulations of the country for which the products are destined. We will not be liable or responsible if you break any such law.
 

CLAIMS

You, the customer, must thoroughly inspect products sent at our risk. If you receive damaged products please refuse the products upon original delivery attempt. If damaged products are accepted from the carrier, such damage should be noted on the carrier delivery record. You should notify us immediately of loss, damage or shortage of products. Unless claims for shortages or damage are notified to the company within three days of receipt no liability will be accepted by us.
 

DISCLAIMERS AND WARRANTIES

We take every reasonable measure to maintain high quality content within this website. However, we do not make any representation or give any warranty or undertaking as to the quality or fitness for purpose, or that the goods are not defamatory, injurious, obscene or unlawful, or that any trademarks or copyright used on or in connection with the goods do not infringe any intellectual property rights not owned by us.

We do not make any representation or give any warranty or undertaking that the functions of the website meet your requirements or that the media is compatible with any computer system on which it is used or that the operation of the software will be unlimited or error-free. In no event shall we be liable for any damages whatsoever arising out of the installation of any third party software that you use to view the website. You assume responsibility for selecting the product to achieve your intended results and for the use of, and results obtained from, that product.

As far as is permitted by law, all implied warranties, conditions or other terms are hereby excluded. We shall not in any circumstances be liable for any special, indirect, consequential or economic loss (including but not limited to loss of profits, business, revenue, goodwill or anticipated savings) however caused. We will not be liable for products not being available. You agree that for any liability relating to the purchase of products or services provided directly by us, we are not liable or responsible for any amount of damages above the euro/sterling amount paid by the customer for the product(s) or service(s) giving rise to a claim.

You warrant that you will not use the site for any unlawful purpose, or in breach of Irish law, or any other law applicable to the use of the Internet including but not limited to:

  • transmission, linking or posting to the site any material which constitutes or encourages the commission of a civil or criminal offence or which infringes any intellectual property rights or similar rights of any person;
  • transmission, linking or posting to the site of any obscene, indecent, pornographic, defamatory, offensive or abusive material;
  • transmission, linking or posting to the site any material which contains a virus or other hostile computer programme, or running any applications that could lead to a modification of the physical or logical structure of the networks being used;
  • spamming or any other form of commercial advertising or marketing;
  • deep linking and aggregating by use of any robot, spider, or other automatic device or manual process to monitor or copy pages or the content contained on the site without our prior express permission.

You agree to keep confidential and not disclose to any other organisation any password or authentication code which we may give to you and to use it only for the authorized purpose communicated to you by us.
 

TITLE

Goods will remain the property of Prim-Ed Publishing Ltd and retains a security interest in the products until payment in full is received. The customer will be responsible for all shipping and related charges.
 

CANCELLATION RIGHTS AND RETURNS

You reserve the right to cancel the purchase of a product at any time within seven working (‘Cancellation Period’), beginning on the date of purchase.

If for any reason you wish to return your products to us, please contact Prim-Ed Publishing Ltd directly on +44 (0) 20 3773 9620 within 7 calendar days (‘Cooling-off Period’) of receiving your order. Returns are at the customers cost unless the product is faulty or delivered in error. We accept no liability for any returns sent to us without prior acceptance.

Please return all products 100% complete and in first-class re-saleable condition. Refunds are contingent on this.

The customer is responsible for all risk of loss and damage to products in transit, for return, exchange or replacement. Please fully insure return shipment in case of loss or damage. Please use a carrier that is able to provide you with proof of delivery. This is for your protection as well as to ensure quick action on return.

Failure to return a product within the applicable return period will be deemed to be an acceptance of the product.
